Terms of Service

Kleis is a paid WordPress plugin subscription for churches, nonprofits, agencies, freelancers, and website developers who connect Planning Center content to WordPress websites.

1. Who We Are

Kleis is a product operated by McIlwraith Enterprises, LLC, a North Carolina limited liability company. Kleis is a product name and is not currently a separate legal entity or registered DBA.

These Terms of Service describe the rules for using the Kleis website, WordPress plugin, licensing services, support, updates, downloads, Planning Center connection services, and related services.

In these Terms, "Kleis," "we," "our," and "us" refer to McIlwraith Enterprises, LLC. "You" means the person, organization, church, nonprofit, agency, freelancer, website developer, client, or other entity using or purchasing Kleis.

2. Acceptance of These Terms

By buying, downloading, installing, activating, accessing, or using Kleis, you agree to these Terms. If you use Kleis on behalf of an organization or client, you confirm that you have authority to accept these Terms for that organization or client.

If you do not agree to these Terms, do not use Kleis.

3. Eligibility and Intended Use

Kleis is intended for use in events, programs, communications, and website work related to nonprofit or spiritual missions, with churches as the primary audience.

Purchasers and account owners must be at least 18 years old or otherwise legally authorized to enter into these Terms and bind the organization or client they represent.

Churches, nonprofits, spiritual-mission organizations, freelancers, website developers, and agencies may purchase and use Kleis for their own sites or for client sites.

International customers may use Kleis where permitted by applicable law and where payment processing, third-party services, and service availability allow.

4. What Kleis Provides

Kleis provides a WordPress plugin with ongoing support and updates to integrate Planning Center content with your WordPress website.

Kleis is a self-service product with subscriber support and updates. Kleis works with WordPress and Planning Center, but we do not guarantee compatibility with every version, theme, plugin, host, browser, configuration, or future third-party change.

We will make every best effort to make Kleis reliable, secure, and beneficial for churches and nonprofits. This commitment does not change or limit the disclaimers, limitations of liability, or customer responsibilities in these Terms.

Kleis will use commercially reasonable efforts to keep the plugin up to date with relevant Planning Center API changes and WordPress software updates. However, third-party platforms can change in ways outside our control.

5. Subscriptions, Billing, and License Keys

Monthly and yearly purchase options may be available. Prices may be displayed separately on the Kleis website, checkout page, or billing provider pages and are not part of these Terms.

Each active subscription provides one license key for one active WordPress site activation at a time. You may transfer a license between sites by deactivating it on one site and activating it on another.

Kleis does not currently include a separate staging or development site entitlement.

Payment processing, invoices, payment methods, subscription management, and taxes are handled by Creem or another payment provider we may use. Your payment provider may have its own terms and policies.

If a payment fails, there is no guaranteed grace period. We may suspend or deactivate the related license for nonpayment.

If you cancel, access continues until the end of your current paid monthly or yearly term, unless your access is suspended or terminated under these Terms.

Except where required by law or expressly approved by Kleis in writing, payments are not refundable.

6. Updates, Downloads, and Support

An active subscription is required for private plugin downloads, plugin updates, license validation, Planning Center connection services, and subscriber support.

Support is available for paying subscribers through the support form on the Kleis website. We aim to respond within 48 hours, excluding weekends and holidays.

Support covers reasonable help with Kleis setup, configuration, updates, licensing, sync behavior, and supported product features.

Custom development, theme fixes, custom design work, hosting troubleshooting, unrelated WordPress issues, and guaranteed feature requests are not included. You may submit feature requests, but we do not promise that any request will be added to the product.

General inquiries may still be sent after cancellation, but subscriber support is only available with an active subscription.

Kleis documentation will be provided for setup and configuration.

7. Plugin Code, Services, and Branding

The Kleis WordPress plugin source code is distributed under a GPL-compatible license, currently GPLv2 or later, consistent with WordPress plugin licensing expectations.

That software license applies to the plugin code itself. It does not give you ownership of Kleis trademarks, product names, branding, private update services, private download services, license keys, hosted services, support, accounts, OAuth infrastructure, or other Kleis-controlled services.

You may not remove or misuse Kleis branding, resell Kleis as a white-labeled product, share license keys, bypass license checks, or use Kleis-hosted services without an active subscription and valid license.

8. Your Responsibilities

You are responsible for installing Kleis, installing updates, maintaining your WordPress site, maintaining your hosting environment, managing themes and plugins, backing up your site, securing your WordPress admin area, and protecting your license key.

You are responsible for all content synced from Planning Center or displayed through your website, including sermons, media, artwork, speaker names, event data, resources, links, and related materials.

You must make sure you have the rights and permissions needed to publish any content displayed through Kleis.

You are responsible for configuring public and private content correctly in WordPress, Planning Center, and any other relevant service.

You must comply with Planning Center terms and any other third-party terms that apply to your use of Kleis.

9. Planning Center, WordPress, and Third-Party Services

Kleis works with third-party platforms and providers, including Planning Center, WordPress, Cloudflare, Creem, Tally, Plausible, and Google Fonts.

Kleis is not affiliated with, endorsed by, sponsored by, or controlled by Planning Center or WordPress.

Third-party services may change, pause, fail, limit, or discontinue features in ways that affect Kleis. We are not responsible for third-party outages, API changes, account issues, billing provider issues, platform restrictions, or policy changes.

10. Data, Privacy, and Security

Our Privacy Policy explains how we collect, use, and protect information when you use Kleis. By using Kleis, you also agree to the practices described in the Privacy Policy.

Kleis does not store synced sermon or calendar content as customer content. Synced sermon content is stored in your WordPress site, and calendar content is retrieved through the Planning Center integration as needed.

Planning Center OAuth tokens are stored in Kleis infrastructure so your WordPress site does not need to store Planning Center client secrets or long-lived Planning Center credentials.

When a license is deactivated, Kleis deletes the stored Planning Center OAuth tokens associated with that license instance.

We use reasonable technical and organizational measures designed to protect Kleis systems, but no system is perfectly secure.

11. No SLA or Guaranteed Availability

Kleis does not provide a service-level agreement or guaranteed uptime.

We work to keep Kleis reliable, but the product may be unavailable, delayed, interrupted, or affected by maintenance, third-party services, network issues, security concerns, customer configuration, or events outside our control.

12. Prohibited Uses

You may not use Kleis to:

  • Do anything illegal, fraudulent, abusive, harmful, or infringing
  • Share, sell, publish, or misuse license keys
  • Bypass licensing, access controls, private downloads, or update restrictions
  • Reverse engineer, scrape, overload, probe, attack, or interfere with Kleis-hosted services or APIs
  • Upload, distribute, or connect Kleis to malware, malicious code, spam, or abusive systems
  • Use Kleis in a way that violates Planning Center terms, WordPress rules, payment provider terms, or other third-party requirements
  • Misrepresent your relationship with Kleis, Planning Center, WordPress, or any third-party provider
  • White-label, resell, or repackage Kleis as your own product

13. Suspension and Termination

We may suspend or terminate access to Kleis, deactivate licenses, or refuse service if there is nonpayment, abuse, security risk, license misuse, prohibited use, legal requirement, or other violation of these Terms.

After cancellation, termination, deactivation, or nonpayment, calendar data may stop displaying on your site, new sermon syncs may stop, and access to updates, downloads, license validation, Planning Center connection services, and subscriber support may stop.

Sermon content that was already synced into your WordPress site will generally remain in your WordPress site unless you delete it or your site removes it.

Stored Planning Center OAuth tokens associated with a deactivated license instance will be deleted from Kleis infrastructure.

14. Disclaimers

Kleis is provided "as is" and "as available." We do not provide warranties of any kind, whether express, implied, statutory, or otherwise.

We do not promise that Kleis will be uninterrupted, error-free, compatible with every site, compatible with every third-party change, or free from data loss, incorrect syncs, failed transmissions, missing content, or display issues.

Kleis is not responsible for content synced from Planning Center, content displayed through your site, your site configuration, your WordPress environment, your backups, your hosting, your security, or third-party services.

15. Limitation of Liability

To the fullest extent allowed by law, Kleis and McIlwraith Enterprises, LLC will not be liable for damages resulting from your use of Kleis, inability to use Kleis, content synced through Kleis, third-party services, data loss, business interruption, lost revenue, lost profits, reputational harm, or other direct, indirect, incidental, special, consequential, exemplary, or punitive damages.

If applicable law does not allow a complete exclusion of liability, our total liability for any claim related to Kleis will be limited to the amount you paid for Kleis during the three months before the event giving rise to the claim.

16. Indemnity

You agree to defend, indemnify, and hold harmless McIlwraith Enterprises, LLC from claims, damages, losses, liabilities, costs, and expenses arising from your content, your website, your configuration, your use of Kleis, your violation of these Terms, your violation of third-party terms, your misuse of license keys, or your failure to secure rights to publish content.

17. Changes to Kleis and These Terms

We may change Kleis features, services, support processes, or these Terms from time to time.

When we make material changes to these Terms, we will post the updated Terms and send email notice when possible. Continued use of Kleis after updated Terms become effective means you accept the updated Terms.

For existing customers, we will provide 30 days notice before price changes affect a renewal.

18. Informal Dispute Resolution

Both sides agree to try in good faith to resolve the issue before starting a lawsuit, except where urgent legal relief is needed to protect intellectual property, security, confidentiality, or legal rights.

19. Governing Law, Venue, and Class Action Waiver

These Terms are governed by the laws of North Carolina, United States, without regard to conflict-of-law rules.

Any lawsuit or court proceeding related to Kleis or these Terms must be brought in the state or federal courts located in Forsyth County, North Carolina, unless applicable law requires otherwise.

You and Kleis agree to bring claims only on an individual basis. You and Kleis waive the right to participate in a class action, class arbitration, representative action, or consolidated proceeding to the fullest extent allowed by law.
